Terms of Service

These Terms of Service govern access to and use of the WalletPlug platform, products, software, application programming interfaces, plugins, and related services. By accessing or using WalletPlug, you agree to be legally bound by these Terms.

If you do not agree, you must not access or use the services.


1. Definitions

WalletPlug refers to WalletPlug LLC, its affiliates, officers, employees, contractors, and service providers.

User means any individual or entity accessing or using the platform.

Merchant means any business or individual approved to accept payments through WalletPlug.

Services means payment processing, checkout APIs, plugins, payment links, dashboards, reporting tools, and related functionality.

Third Party Providers means banks, card networks, payment processors, compliance vendors, and technology partners used to deliver the Services.


2. Scope of Services

WalletPlug provides technology that enables payment acceptance, transaction routing, and settlement facilitation. WalletPlug does not act as a bank, card issuer, or escrow agent.

WalletPlug does not guarantee transaction approval, settlement timing, or uninterrupted availability of Services.


3. Eligibility and Account Access

You must be legally capable of entering into binding contracts to use the Services.

WalletPlug reserves the right to approve, suspend, restrict, or terminate any account at its sole discretion, including where risk, compliance, fraud, or regulatory concerns arise.


4. Merchant Relationship and Hierarchy of Documents

If you are a Merchant, your use of the Services is additionally governed by the Merchant Services Agreement.

In the event of any conflict:

  1. Merchant Services Agreement

  2. These Terms of Service

  3. All referenced policies

The higher ranked document shall prevail.


5. Fees and Charges

Fees applicable to the Services are described in the Pricing and Fee Schedule and incorporated into these Terms by reference.

All processing fees are non refundable unless explicitly stated otherwise.

WalletPlug may update fees with notice, where permitted by law.


6. User and Merchant Obligations

You agree to:

  • provide accurate and complete information

  • comply with all applicable laws and regulations

  • ensure your customers are authorized to complete transactions

  • maintain adequate security over credentials and access keys

You must not misuse the Services or allow third parties to do so.


7. Prohibited Use

You may not use WalletPlug for:

  • illegal or fraudulent activities

  • prohibited or restricted industries as defined in the Acceptable Use Policy

  • activities that expose WalletPlug to regulatory or reputational risk

WalletPlug may immediately suspend access upon detection of prohibited activity.


8. Compliance and Verification

WalletPlug may require identity, business, or transaction verification at any time.

WalletPlug may conduct enhanced due diligence and impose transaction limits, reserves, or payout delays where necessary.

Failure to provide requested information may result in suspension or termination.


9. Third Party Providers

WalletPlug relies on Third Party Providers to deliver Services.

WalletPlug is not responsible for outages, failures, or decisions made by Third Party Providers.


10. Service Availability and Disclaimers

Services are provided on an as is and as available basis.

WalletPlug disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.


11. Limitation of Liability

To the maximum extent permitted by law, WalletPlug shall not be liable for:

  • indirect or consequential damages

  • loss of profits or revenue

  • chargebacks or customer disputes

  • regulatory actions against users or merchants

WalletPlug total liability shall not exceed the fees paid to WalletPlug in the three months preceding the event giving rise to the claim.


12. Indemnification

You agree to indemnify and hold WalletPlug harmless from any claims, losses, fines, or expenses arising from:

  • your use of the Services

  • your violation of law

  • your customers transactions

  • your breach of these Terms


13. Suspension and Termination

WalletPlug may suspend or terminate access immediately where risk is identified.

Termination does not relieve you of outstanding obligations, fees, or liabilities.

WalletPlug may retain funds as permitted to cover disputes, chargebacks, or compliance reviews.


14. Amendments

WalletPlug may modify these Terms at any time.

Continued use of the Services constitutes acceptance of the updated Terms.


15. Governing Law and Jurisdiction

These Terms shall be governed by the laws applicable to WalletPlug place of incorporation, without regard to conflict of law principles.


16. Entire Agreement

These Terms, together with referenced policies and agreements, constitute the entire agreement between you and WalletPlug regarding use of the Services.
